Terms of Use Agreement

iSpeedbuy, LLC ("iSpeedbuy", "we", us", "our") is pleased to provide its services, including the services available at the domain name www.SoQuikTextPage.com ( "Site", "services") and certain services made available to registered users of this Site to users ("User", "you") under this Terms of Use Agreement ("agreement").  You formally accept the terms of use of this agreement by completing and signing a properly executed Merchant Agreement, which will then constitute a legal agreement between iSpeedbuy and you.  Upon completion and acceptance, you will then be granted access to restricted portions of the Site.  If you do not want to become a User, do not conclude the Merchant Agreement. Please read this agreement carefully.

• SoQuik's text program is a Text Paging and Food Ordering Mobile Program. Many specific text messaging questions are covered under FAQ.  If you choose to participate in the use of our text messaging service these terms and conditions apply.  SoQuik does not charge your customers for the use of the service, however, Message & Data Rates May Apply to each text message sent or received as provided in their wireless rate plan.
  

• HELP.Your customer may always get help from their mobile device.  Simply type HELP on any mobile device and then send that text message.  They will recieve contact information for SoQuik from the HELP message.

• STOP.Your customer may terminate the SoQuik text messaging service at any time by texting STOP (case is not important)on their mobile device.  Simply,type "STOP," and then send that text message. They will be opted out of our text message service and no longer recieve any messages from us

Privacy

• We collect certain personal information about you during the sign-up process such as your name, email address, contact information and other information as necessary to provide our services to you. SoQuik values your right to Privacy, and we have outlined how we use this information in our complete policy named "Privacy Policy" which is accessible at the bottom of each www.SoQuikTextpage.com website page. It is implied that by accepting this agreement, you are also agreeing that you have read and agree to the "Privacy Policy".

• SoQuik does not implicitly endorse third-party sites hyper-linked to this Website. We may allow sites to be hyperlinked on our site, but we do not control these and are not responsible for their content or accuracy.

• You will get an email from us confirming your registration of SoQuik, and an email anytime that you activate or change your cell number for security purposes. You will also get an email if you require a username or password help. We also may email you as the primary means of communication regarding account information or status.

• You agree that iSpeedbuy or SoQuik may communicate any notices to you, including notices of changes to this agreement, through email, regular mail, phone or by posting of those notices on the SoQuikTextPage.com web site

• SoQuik strives to keep the information contained in this Web site is accurate, up to date and reliable. SoQuik cannot be held liable or responsible for any damages or injuries caused by the use of this Website (such as viruses, omissions or misstatements). SoQuik will revise the information, services and the resources contained in this Website from time to time and we reserve the right to make such changes without obligation to notify past, current or prospective visitors. In no event shall SoQuik be liable for any indirect, special, incidental, or consequential damages arising out of any use of the information contained herein.

• Payment terms and conditions are specified in the Merchant Agreement. 

• We are subject to a multitude of factors beyond our control, including the world wide web and the Carriers wireless availability and hardware and software glitches. We are also subject to the merchants processing of your order. Therefore, to the fullest extent permissible pursuant to applicable law, iSpeedbuy disclaims any warranty of any kind, whether express or implied, as to any matter whatsoever relating to the SoQuik Website, including without limitation the merchantability or fitness for any particular purpose. iSpeedbuy is not liable or responsible for any damages or injuries caused by use of this Website (such as viruses, omissions or misstatements). SoQuik's services are offered on an "as is" and "as available" basis.

• This site is owned and operated by iSpeedbuy, LLC. No material from the site may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way without the prior written permission of iSpeedbuy. All text, graphics, logos, illustrations, and code contained in this Website are the exclusive property of iSpeedbuy, LLC . Modification of the materials or use of the materials for any other purpose is a violation of iSpeedbuys copyright and other proprietary rights. You further acknowledge and agree that content contained in merchant advertisements or promotions presented to you through the SoQuik site is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. You may not, and agree not to, modify, reformat, copy, display, distribute, transmit, publish, license, create derivative works from, transfer, redistribute, decompile, reverse engineer, disassemble, sell or otherwise use any information, products or services obtained from the SoQuik service except as set forth herein.

• iSpeedbuy values its proprietary property such as the SoQuik Trademarks. These trademarks are used to differentiate SoQuik in the marketplace. These trademarks and related proprietary property are protected from reproduction and simulation under national and international laws and are not to be copied without the express written permission of iSpeedbuy.

• You agree and warrant to iSpeedbuy that you will not use the SoQuik service for any purpose that is unlawful or prohibited by this agreement. You may not use the service in any manner that could damage, impair, circumvent, disable or overburden the service, interfere in any way with iSpeedbuys rights or interfere in any way with any other user's use of the service.

• You acknowledge and agree that the services are for your personal use only. You acknowledge and agree that you may not copy, distribute, sell, resell, or exploit for any commercial purposes any portion of the services, or any products accessible through the services. iSpeedbuy is not liable for any claims, actions, damages, or other liability incurred as a result of any unauthorized use of your account or the services, and you agree to be fully liable for any such unauthorized access.

• You will not use, or attempt to use our services in connection with any junk messages, spamming, advertising or messages that are duplicative, unsolicited, or promotional in nature.

• In the vast majority of cases, it will not be necessary for iSpeedbuy to ever temporarily suspend, limit the use of our service, or terminate this agreement with you, with or without notice. But it may occur, and reasons to do so ( but not limited to) may be as follows: Complaints from customers, violations of this agreement by you, providing false or misleading information, and improper conduct in any fashion. We will notify you of the suspension and/or termination as we can reasonably do so. In any event you are liable for all charges you have incurred, and in no case shall iSpeedbuy be liable to you or any third party for any unavailability , limitation, modification, suspension, or discontinuance of our services. You understand and agree that iSpeedbuy will not be liable to you in any regard for termination or suspension of your account privileges. We also reserve the right to "archive" all dormant or inactive accounts. You agree and iSpeedbuy reserves the right to change these general practices and limits at any time, in our sole discretion, with or without notice.

• If we re-institute your account after a suspension or termination, we may ask you to reactivate your account by providing data in some fashion such as changing passwords or re-activating your text messaging service.

• You understand that the use of the services is at your own risk. We strive to win your trust and confidence in our service, but we expressly disclaim any warranties of any kind, and we make no guarantees of any uptime availability, error free results, accuracy, or reliability. We are not liable for any direct, indirect or incidental damages resulting from the use of or the inability to use our services.

• You agree to indemnify, defend and hold harmless iSpeedbuy, its owners, agents, employees, representatives, licensors, affiliates, officers, directors, service providers, vendors, merchants, and customers from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) resulting from any violation of this agreement or arising from any third-party claim in connection with (a) any information you (or anyone accessing the services using your password) submit or transmit through the services, (b) your use of or access to the services, (c) your violation of this agreement, (d) your violation of any rights of any third party, or (e) any viruses, trojan horses, worms, time bombs, cancelbots, spyware, or other similar harmful or deleterious programming routines input by you into the services.

• This Agreement and the relationship between you and iSpeedbuy shall be governed by the laws of the State of Maryland, without giving effect to any choice of laws or principles that would require the application of the laws of a different country or state. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Soquik services or to the terms of this User Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. You agree to submit any dispute with iSpeedbuy exclusively to final and binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The location of any arbitration shall be in the city of Columbia, Maryland. You agree any arbitrator shall not have the authority to award punitive damages. You agree to be bound by any ruling in such arbitration proceeding and that such ruling shall be enforceable in any court of competent jurisdiction. Any failure by iSpeedbuy to exercise any rights or enforce any of the terms of this User Agreement shall not constitute a waiver of such rights or terms. If any portion of the User Agreement is found by an arbitrator or a court of competent jurisdiction to be invalid, the arbitrator or court should nevertheless give effect to the parties' intentions expressed herein. All other provisions of the User Agreement remain in full force and effect.
